These terms and conditions govern the use of Ifative services. By using our services, you agree to comply with the applicable terms.

1. Agreement

By accessing or using Ifative services, you agree to be bound by these terms and conditions. If you do not agree to these terms, please do not use our services.

These terms apply to all users, clients, and website visitors who access or use our services.

2. Our Services

Ifative provides software development services including but not limited to:

  • Web and mobile application development
  • UI/UX design and user experience
  • IoT solutions and integrated systems
  • Technology consulting and digital transformation
  • Maintenance and technical support

Detailed service specifications will be set forth in a separate agreement or project proposal.

3. Client Obligations

As a client, you agree to:

  • Provide accurate and complete information about project requirements
  • Provide access and resources necessary for project completion
  • Make payments according to the agreed schedule
  • Provide feedback and approval in a timely manner
  • Comply with applicable laws and regulations
  • Not use services for illegal or harmful purposes

4. Payment Terms

Applicable payment terms:

  • Payments are made in stages according to project milestones
  • 30% down payment of total project value is required to start
  • Second payment of 40% when development milestone is reached
  • Final payment of 30% when project is completed and testing is complete
  • Late payments may be subject to penalties as agreed
  • All payments in Indonesian Rupiah unless otherwise agreed

Specific payment details will be stated in each project's contract or proposal.

5. Intellectual Property

Intellectual property provisions:

  • Client has full rights to the final product after full payment
  • Source code and documentation become client's property upon handover
  • Ifative retains rights to proprietary methodology and frameworks
  • Client may not claim or redistribute our proprietary components
  • Ifative may use projects in portfolio with client approval
  • Open source libraries and frameworks remain subject to their original licenses

6. Confidentiality

Both parties agree to maintain confidentiality of information:

  • All client business and technical information will be kept confidential
  • Our team signs non-disclosure agreements (NDA)
  • Data and information will not be shared with third parties without permission
  • Confidentiality obligations continue during and after the agreement
  • Exceptions apply for information already public

7. Warranties and Guarantees

Ifative provides the following warranties:

  • Services will be performed with professional industry standards
  • Product will be free from major bugs during warranty period
  • Bug fixing warranty for 3 months after handover
  • Basic technical support available during warranty period
  • Warranty does not cover modifications by other parties
  • Warranty does not apply to damage from misuse

8. Limitation of Liability

Ifative's liability is limited as follows:

  • Maximum liability equal to the project contract value
  • Not liable for indirect or consequential losses
  • No guarantee of compatibility with third-party systems
  • Not liable for external infrastructure downtime
  • Force majeure and circumstances beyond control are excluded
  • Client is responsible for data backup and security

9. Project Changes

Provisions for project scope changes:

  • Scope changes must be approved in writing by both parties
  • Changes may affect project timeline and cost
  • Change requests will be evaluated for project impact
  • Additional costs will be communicated before implementation
  • Major changes may require a new contract addendum
  • Timeline will be adjusted based on change complexity

10. Termination

The agreement may be terminated under the following conditions:

  • Mutual agreement to end the project
  • Material breach of agreement terms
  • Payment delay exceeding 30 days
  • Inability of either party to continue obligations
  • Termination notice at least 30 days in advance

In case of termination, completed work will be handed over and payment adjusted according to progress achieved.

11. Governing Law

These terms are governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes will be resolved through:

  • Negotiation and consensus as primary priority
  • Mediation through an agreed institution
  • Arbitration in accordance with applicable regulations
  • Courts with jurisdiction in Batam
